1. Agreement to These Terms

These Terms of Service (“Terms”) govern your access to and use of the websites, checkout, software, consultations, tools, accounts, content, and services provided by Empire Platforms LLP, doing business as Empire and EmpireKeep (“EmpireKeep,” “Empire,” “we,” “us,” or “our”).

  • Related digital services.

Available features may vary by product, plan, location, account type, and purchase.

4. Not Professional Advice

Unless expressly stated otherwise and provided by an appropriately qualified professional, the Services provide organizational, informational, administrative, and software-based support.

The Services do not replace advice from a licensed:

  • Accountant;

  • Tax professional;

  • Attorney;

  • Financial adviser;

  • Investment adviser; or

  • Other regulated professional.

You remain responsible for reviewing information and obtaining independent professional advice before making tax, legal, financial, compliance, investment, or business decisions.

5. No Guaranteed Outcome

We do not guarantee:

  • A particular tax result;

  • A specific financial outcome;

  • Government approval;

  • Regulatory acceptance;

  • Business profitability;

  • Error-free categorization;

  • A particular amount of savings;

  • Compliance with every obligation;

  • Acceptance of a filing; or

  • A specific commercial result.

Results depend on your information, actions, circumstances, third parties, applicable law, and other factors outside our control.

6. Account Access

Some Services require an account.

You agree to:

  • Provide accurate information;

  • Keep login credentials confidential;

  • Maintain current contact information;

  • Use reasonable security measures;

  • Restrict access to authorized users; and

  • Notify us promptly of suspected unauthorized access.

You are responsible for activity conducted through your account unless caused by our failure to use reasonable security measures.

We may require identity, email, transaction, or account verification.

7. Customer Information and Documents

You retain ownership of information and documents you submit.

You grant us a limited right to host, store, copy, process, analyze, organize, transmit, and display that information only as reasonably necessary to:

  • Provide the Services;

  • Operate your account;

  • Generate requested outputs;

  • Improve security;

  • Troubleshoot problems;

  • Comply with law; and

  • Fulfill your instructions.

You confirm that:

  • You have the right to provide the information;

  • The information is accurate to the best of your knowledge;

  • Providing the information does not violate another person’s rights; and

  • You have obtained any required permission from clients, employees, vendors, or other individuals.

8. Your Responsibilities

You are responsible for:

  • Reviewing all information and outputs;

  • Correcting inaccurate categorizations;

  • Maintaining original records;

  • Meeting filing, tax, payment, registration, and compliance deadlines;

  • Responding to requests for information;

  • Keeping suitable backups;

  • Securing your account; and

  • Obtaining professional advice where appropriate.

EmpireKeep is not responsible for consequences caused by inaccurate, incomplete, late, or misleading information supplied by you.

9. AI-Assisted Features

Certain features may use artificial intelligence or automated technology.

You understand that AI-generated outputs:

  • May contain errors;

  • May omit relevant information;

  • Might not reflect current laws or requirements;

  • Should be independently reviewed; and

  • Should not be treated as professional advice.

You remain responsible for decisions made using AI-assisted outputs.

You must not use AI features to generate unlawful, harmful, fraudulent, misleading, or rights-infringing content.

10. Orders and Payments

Prices are displayed at checkout in the applicable currency.

By submitting an order, you authorize the applicable payment provider to charge the selected payment method.

You agree to provide accurate billing and payment information.

We may:

  • Reject an order;

  • Request verification;

  • Correct a pricing error;

  • Cancel a fraudulent or suspicious transaction;

  • Limit purchases; or

  • Refund an order we cannot fulfill.

Unless checkout expressly identifies a recurring subscription, purchases are treated as one-time payments and do not automatically renew.

Taxes, bank charges, currency-conversion fees, or payment-provider charges may apply depending on your location and payment method.

11. Delivery

Services are delivered electronically.

Delivery may include:

  • Account access;

  • Onboarding instructions;

  • Consultation scheduling;

  • Reports;

  • Documents;

  • Software access; or

  • Email communications.

Delivery times are estimates and may depend on customer responses, verification, scheduling, third-party systems, or information supplied by you.

12. Cancellations and Refunds

Cancellations, refunds, credits, and rescheduling are governed by our Return and Refund Policy.

Nothing in these Terms limits a mandatory consumer right that cannot legally be excluded.

13. Acceptable Use

You must not:

  • Use the Services unlawfully;

  • Commit fraud or misrepresentation;

  • Upload malware or malicious code;

  • Attempt unauthorized access;

  • Interfere with security or operations;

  • Reverse engineer protected software except where legally permitted;

  • Scrape or extract data without permission;

  • Impersonate another person;

  • Infringe intellectual-property or privacy rights;

  • Use another person’s financial information without authorization;

  • Submit false or misleading records;

  • Resell account access without permission; or

  • Use the Services to facilitate illegal, harmful, or abusive activity.

14. Intellectual Property

EmpireKeep and its licensors own the Services, including:

  • Software;

  • Website design;

  • Branding;

  • Logos;

  • Text;

  • Graphics;

  • Interfaces;

  • Templates;

  • Reports;

  • Features;

  • Workflows; and

  • Other proprietary content.

We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your personal or internal business purposes.

You may not copy, reproduce, distribute, sell, license, or create derivative works from our proprietary materials except with written permission or where legally permitted.

15. Feedback

If you submit feedback or suggestions, you grant us permission to use them without restriction or compensation, provided that we do not publicly identify you without permission.

16. Third-Party Services

The Services may rely on or link to third parties, including:

  • Shopify;

  • Payment processors;

  • Banks;

  • Cloud providers;

  • Authentication providers;

  • Analytics services;

  • AI providers; and

  • Software integrations.

Third-party services are governed by their own terms and policies.

We are not responsible for the availability, content, security, or independent actions of third-party services outside our reasonable control.

17. Service Availability

We aim to provide reliable Services, but we do not guarantee uninterrupted or error-free operation.

We may modify, maintain, suspend, restrict, or discontinue a feature when reasonably necessary for:

  • Security;

  • Maintenance;

  • Legal compliance;

  • Product improvements;

  • Provider changes; or

  • Business operations.

We will provide notice where reasonably practical.

18. Suspension and Termination

We may suspend or terminate access if you:

  • Materially violate these Terms;

  • Fail to pay applicable fees;

  • Create a security risk;

  • Engage in fraud or unlawful activity;

  • Misuse the Services; or

  • Expose EmpireKeep or others to legal liability.

You may stop using the Services at any time.

Sections that by their nature should continue after termination will remain effective, including payment obligations, intellectual-property provisions, disclaimers, liability limitations, and dispute provisions.

19. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided on an “as available” basis.

We do not warrant that:

  • The Services will always be uninterrupted;

  • Every error will be corrected;

  • Outputs will always be complete or accurate;

  • The Services will meet every business need;

  • Third-party systems will remain available; or

  • Use of the Services will produce a specific result.

Nothing in these Terms excludes a warranty or consumer protection that cannot legally be excluded.

20. Limitation of Liability

To the maximum extent permitted by law, EmpireKeep and its affiliates, officers, employees, contractors, and providers will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits, lost revenue, lost data, lost opportunities, or business interruption.

To the maximum extent permitted by law, our total liability arising from a particular claim will not exceed the amount you paid to EmpireKeep for the Service giving rise to that claim during the 12 months before the event occurred.

These limitations do not apply where liability cannot legally be limited or excluded.

21. Indemnification

To the extent permitted by law, you agree to indemnify and hold EmpireKeep harmless from claims, losses, liabilities, and reasonable expenses resulting from:

  • Your unlawful use of the Services;

  • Your material breach of these Terms;

  • Information or documents you submit without authorization;

  • Your infringement of another person’s rights; or

  • Fraudulent or intentionally misleading conduct.

22. Changes to These Terms

We may update these Terms to reflect changes to the Services, law, technology, providers, or business operations.

The revised Terms will be posted with an updated effective date.

Where required, we will provide additional notice or obtain consent.

23. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles.

Subject to any mandatory consumer rights or jurisdictional protections, courts located in Mumbai, Maharashtra will have jurisdiction over disputes relating to these Terms or the Services.

24. Severability

If a provision of these Terms is found unenforceable, the remaining provisions will continue in effect. The unenforceable provision will be interpreted or modified only to the extent necessary to make it enforceable.

25. Entire Agreement

These Terms, the Privacy Policy, the Return and Refund Policy, and any service-specific terms presented at checkout form the agreement between you and EmpireKeep regarding the Services.
